1. Services Agreement

1.1. Scope of Services: XCode-IT ("we," "us," or "our") provides custom software development, web development, mobile application development, and IT consulting services as described in individual project proposals.

1.2. Project Proposals: All services will be outlined in a detailed project proposal including scope, timeline, deliverables, and pricing. This proposal becomes part of this agreement when accepted by both parties.

2. Payment Terms

2.1. Pricing: All prices are quoted in Bangladeshi Taka (BDT) unless otherwise specified.

2.2. Payment Schedule: Standard payment terms are:

• 50% advance payment upon project commencement
• 25% upon delivery of initial prototype
• 25% upon project completion and delivery

2.3. Payment Methods: We accept bank transfers, bKash, and Nagad payments.

2.4. Late Payments: Payments overdue by more than 15 days may incur a late fee of 2% per month.

3. Intellectual Property

3.1. Client Ownership: Upon full payment, the client receives ownership of the custom-developed software, including source code, databases, and documentation developed specifically for the client.

3.2. Our Ownership: We retain ownership of:

• Pre-existing code, libraries, and frameworks
• Development tools and methodologies
• Template designs and reusable components

3.3. Third-Party Components: Some projects may include third-party components with their own licenses. Clients are responsible for complying with these licenses.

4. Project Timeline & Delays

4.1. Timeline Estimates: All timelines are estimates based on information available at project commencement.

4.2. Client Responsibilities: The client agrees to:

• Provide timely feedback (within 3 business days)
• Provide necessary materials and information
• Appoint a single point of contact for decisions

4.3. Delay Responsibility: Delays caused by client feedback, content provision, or changing requirements may extend the project timeline without penalty to us.

5. Revisions & Change Requests

5.1. Included Revisions: Each project includes reasonable revisions as specified in the project proposal.

5.2. Additional Changes: Significant changes outside the original scope will be quoted separately and may affect timeline and cost.

6. Confidentiality

6.1. Both parties agree to keep confidential all business information, trade secrets, and proprietary information shared during the project.

6.2. We may showcase completed projects in our portfolio unless otherwise agreed in writing.

7. Warranties & Limitations

7.1. Service Warranty: We warrant that services will be performed in a professional manner consistent with industry standards.

7.2. Bug Fix Warranty: We provide 30 days of free bug fixes for issues arising from our code.

7.3. Limitation of Liability: Our total liability shall not exceed the total fees paid for the specific project giving rise to the claim.

8. Support & Maintenance

8.1. Post-Launch Support: Basic support is provided for 30 days after project delivery.

8.2. Ongoing Maintenance: Ongoing maintenance, updates, and hosting services are available under separate maintenance agreements.

9. Termination

9.1. Either party may terminate with 30 days written notice.

9.2. Upon termination, the client pays for work completed to date and any costs incurred.

10. Governing Law

10.1. This agreement is governed by the laws of Bangladesh.

10.2. Any disputes shall be resolved through arbitration in Dhaka, Bangladesh.
